5 User & Client Responsibilities
When engaging our services or using our platforms, you agree to:
- Provide complete, accurate, and current business information and contact details;
- Supply necessary project assets (branding files, content copy, images, credentials, or API keys) in a timely manner to prevent schedule delays;
- Review submitted milestones, drafts, and deliverables within agreed review periods;
- Ensure that any materials, data, or media provided to Micro Bytes Digital do not infringe third-party intellectual property or violate applicable laws;
- Refrain from transmitting malicious code, viruses, malware, or unlawful materials through our systems;
- Comply with all applicable local, national, and international laws, regulations, and industry standards.
6 Account Registration & Security
Certain software products and client portals require you to register for an authorized user account. When creating an account, you agree to:
- Maintain the confidentiality and security of your login credentials and authentication tokens;
- Promptly notify Micro Bytes Digital in writing upon discovering any unauthorized access, security compromise, or credential breach;
- Accept full responsibility for all transactions, communications, and activities occurring under your registered account;
- Ensure that each user account is accessed solely by the designated individual and not shared among multiple unauthorized operators without appropriate licensing.
7 Payments, Fees & Invoicing
Commercial terms are structured according to the nature of the engagement:
- Custom Development Projects: Billed on a milestone, fixed-price, or time-and-materials basis as specified in the signed SOW. An initial deposit or mobilization advance is typically required prior to project commencement.
- Subscription & SaaS Products: Billed in advance on a recurring monthly or annual billing cycle. Subscriptions automatically renew unless cancelled prior to the renewal date.
- Maintenance & Support Retainers: Invoiced at the start of each service period with defined response-time commitments and included support hours.
- Taxes: All fees are exclusive of applicable sales tax, VAT, withholding taxes, or duties, which remain the responsibility of the client.
- Overdue Accounts: We reserve the right to suspend ongoing development, withhold deployment, or pause access to hosted software platforms if undisputed invoices remain past due after written notice.
8 Refund & Cancellation Policy
Because our services involve custom engineering, design labor, and dedicated infrastructure allocation, the following refund rules apply:
- Custom Development Services: Deposit payments and milestone fees are non-refundable once work on that specific milestone has commenced. If a project is cancelled by the Client prior to completion, the Client is billed for all verified hours and work delivered up to the effective cancellation date.
- Software Subscriptions: You may cancel recurring software subscriptions at any time through your account portal or by contacting support. Cancellation takes effect at the end of the current paid billing period; no partial or prorated refunds are issued for unused time in an active cycle.
- Digital Deliverables & Licenses: Once custom source code, design master files, or software licenses have been deployed or delivered, fees are strictly non-refundable.
9 Intellectual Property Rights
Intellectual property is governed as follows:
- Client Deliverables: Upon full and final payment of all agreed fees, the Client receives full ownership of bespoke custom designs, graphical assets, and tailored code written specifically for the Client under the applicable SOW.
- Micro Bytes Digital Pre-Existing IP: Micro Bytes Digital retains sole and exclusive ownership of all pre-existing software, frameworks, boilerplate libraries, core modules, algorithms, proprietary plugins, and SaaS platforms utilized during the project.
- Open Source Components: Certain third-party open-source libraries or frameworks (such as Bootstrap, PHP frameworks, or WordPress plugins) remain governed by their respective open-source licenses (MIT, Apache, GPL, etc.).
- Portfolio & Showcase Rights: Unless the Client has executed a formal Non-Disclosure Agreement (NDA) prohibiting disclosure, Micro Bytes Digital reserves the right to display the completed project, logo, and general project summary in our digital portfolio and marketing case studies.
10 Project Delivery & Revisions
Project execution follows a collaborative milestone process:
- Review Periods: Upon milestone delivery or staging deployment, the Client has a standard acceptance review window (typically 7 to 14 business days, unless specified otherwise in the SOW) to inspect deliverables and report bugs or discrepancies against specifications.
- Included Revisions: Each project phase includes an agreed number of revision rounds to refine design and functionality within the original scope.
- Scope Changes: Requests for new features, structural layout changes, or third-party integrations not included in the approved SOW will be scoped separately via a formal Change Request and billed accordingly.
- Final Acceptance: Written approval, release into production, or expiration of the review window without written objection shall constitute formal acceptance of the milestone.
11 Third-Party Services & Integrations
Our digital solutions and software platforms frequently integrate with external third-party services, including cloud hosting providers (AWS, DigitalOcean), payment gateways (Stripe, PayPal), telecommunication APIs (WhatsApp Business API / Meta), email delivery engines (SendGrid, Mailgun), and e-commerce platforms (Shopify, WooCommerce).
You acknowledge that:
- Third-party services are subject to their own terms, privacy policies, fee schedules, and usage limits;
- Micro Bytes Digital is not responsible for interruptions, API depreciations, pricing modifications, or service suspensions caused by third-party platforms;
- Any direct third-party usage costs (e.g. Meta WhatsApp messaging fees, hosting server fees, or gateway transaction fees) are the Client's direct obligation.
12 Service Availability & Maintenance
Micro Bytes Digital strives to maintain high availability and reliability for our hosted software platforms and web services. However, uninterrupted or error-free operation cannot be guaranteed.
We may perform scheduled maintenance, infrastructure upgrades, or emergency security patching. Wherever feasible, planned maintenance windows will be communicated in advance to minimize operational disruption. Micro Bytes Digital shall not be liable for unavoidable service outages resulting from network carrier failures, distributed denial-of-service (DDoS) attacks, or events beyond our reasonable control (Force Majeure).
13 Limitation of Liability & Disclaimers
To the maximum extent permitted by applicable law, Micro Bytes Digital, its directors, employees, contractors, and affiliates shall not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages, including loss of profits, revenue, data, business goodwill, or operational downtime, arising from or related to:
- Your use of or inability to use our website, software products, or digital services;
- Third-party platform downtime, API modifications, or server provider failures;
- Unauthorized access to or alteration of your transmissions or business data;
- Delays or performance issues caused by events outside our reasonable commercial control.
In all circumstances, Micro Bytes Digital's maximum aggregate financial liability arising out of or related to these Terms or any engagement shall be strictly limited to the total fees actually paid by the Client to Micro Bytes Digital for the specific product or service giving rise to the claim during the six (6) months preceding the incident.
14 Website Usage Restrictions
When accessing or interacting with our corporate website, you agree not to:
- Engage in unauthorized data scraping, automated harvesting, or spidering of website content;
- Circumvent, disable, or tamper with website security controls, rate limiting, or authentication mechanisms;
- Transmit unsolicited commercial messages, spam, or promotional material through our web forms;
- Impersonate any person, brand, or entity, or falsely state an affiliation with Micro Bytes Digital;

15 Changes to Terms
Micro Bytes Digital reserves the right to modify, amend, or replace these Terms & Conditions at our sole discretion. When revisions are made, the "Last Updated" date at the top of this document will be refreshed accordingly.
Material updates affecting active software subscriptions will be communicated via email or client portal notifications. Your continued use of our website, software platforms, or services following the publication of updated Terms indicates your acceptance of and agreement to the revised Terms.
